TERMS OF USE AND GENERAL TERMS AND CONDITIONS

1. Scope of Application

  1. These Terms of Services and General Terms and Conditions ("Terms and Conditions") govern:
    • the use of the website, online portals, digital applications, and other digital services operated by SetCorp Services [A project of IMT Consulting GmbH] (hereinafter "SetCorp"); 
    • the use and ordering of services offered through these channels;
    • the engagement of SetCorp for services in the areas of international establishment coordination, company formation processing, administration, and related services;
    • and the use of services provided by SetCorp through external partners.
  2. These Terms and Conditions apply to all business relationships between SetCorp and its customers ("Customer"), unless otherwise agreed in the respective individual order.
  3. Individual written agreements between SetCorp and the Customer take precedence over these Terms and Conditions.
  4. The version of these Terms and Conditions in force at the time of conclusion of the contract shall apply.

2. Service Provider

The services are provided by IMT Consulting GmbH (hereinafter "IMT"), acting on behalf of the project "SetCorp Services" or simply "SetCorp".

3. Definitions

  1. Customer: A Customer is any natural or legal person who uses the website, requests information, orders a service, or enters into a contract with SetCorp.
  2. Business Customer: A Business Customer is a Customer who, at the time of conclusion of the contract, acts in the course of their professional or commercial activity.
  3. Consumer: A Consumer is a natural person who enters into a contract for a purpose that cannot be attributed to their professional or commercial activity.
  4. Service: Services are all services provided by SetCorp itself or arranged by SetCorp through external partners.
  5. Individual Order: An Individual Order is the specific ordering of a particular service package or a single service by the Customer.
  6. Partner: Partners are independent third-party companies or service providers engaged by SetCorp to provide specific services or whose services are arranged by SetCorp.

4. SetCorp's Business Model

  1. SetCorp provides, in particular, services in the areas of: international establishment coordination, proxy company formation processing, corporate administration, virtual administration, coordination of local service providers, and other related commercial services.
  2. SetCorp is not a tax advisory firm and not a legal advisory firm, unless expressly agreed otherwise.
  3. SetCorp does not, in particular, provide individual tax, legal, financial, investment, immigration law, employment law, or corporate law advice as part of a standard service package.
  4. SetCorp may provide organizational information, explain processes, prepare documents, collect data, coordinate processes, and engage external professionals or service providers. Such activities do not constitute individual legal or tax advice.

 5. Service Packages

  1. SetCorp may offer various service packages, in particular:

    • Coordination Service:
      The Customer remains the applicant and personally carries out those legal or personal actions that are required by law or by the requirements of the respective authority. SetCorp provides support with preparation, document coordination, process organization, communication, scheduling, and coordination of external service providers.

    • VIP / Full Execution:
      SetCorp assumes, within the legally and practically permissible scope, as large a portion of the organizational and administrative execution as possible (preparation, authority coordination, local service providers, scheduling, status monitoring). The Customer remains, however, responsible for all actions that must be performed or signed in person.

    • Virtual Administration & Assistance Services:
      SetCorp independently handles administrative tasks such as mail and email management, scheduling, the preparation of standardized forms, and other legally permissible activities within the scope of virtual assistance. The service is provided either locally in Switzerland or internationally through specialized partners. Legally binding actions are only undertaken in justified exceptional cases, provided the Customer specifically authorizes them through a power of attorney and actively cooperates.

  2. The specific scope of services is determined exclusively by the respective Individual Order.
  3. Descriptions on the website constitute general information. The specifically ordered and confirmed scope of services is binding.

6. Services in Different Countries

  1. SetCorp may provide services, in particular, for Switzerland, the United States of America, the United Arab Emirates, and other countries.
  2. The requirements are determined by the respective country, state, emirate, canton, free zone, or authority.
  3. SetCorp cannot guarantee uniform requirements across all countries.T
  4. he Customer is obligated to provide all necessary information and documents completely and truthfully.

7. No Guarantees for Administrative Decisions

  1. The Customer acknowledges that the services depend on the decisions of third parties (commercial register, authorities, free zones, banks, notaries, etc.).
  2. SetCorp is obligated to perform the service in a proper manner, but not to guarantee a specific administrative outcome.
  3. There is no entitlement to the grant of a registration, license, visa, permit, or bank account, unless this has been expressly and lawfully guaranteed.
  4. The decision of an authority or a third party is outside SetCorp's sphere of influence.

8. No Guarantee of Success

  1. Unless expressly agreed otherwise in writing, the services constitute service engagements and not a guarantee of a specific outcome.
  2. Statements regarding processing times are not guarantees.
  3. Time estimates on the website are non-binding guidelines unless explicitly designated as binding deadlines.

9. Customer's Prerequisites

  1. The Customer must meet the required prerequisites (legal age, identifiability, valid passports, residence, financial means, permissible business activity, KYC/AML compliance).
  2. SetCorp is entitled to request additional documents.

10. Customer's Disclosure and Cooperation Obligations

  1. The Customer undertakes to provide complete, accurate, current, and truthful information.
  2. Changes to relevant information (identity, residence, shareholders, business activity, etc.) must be communicated without delay.
  3. SetCorp is entitled to rely on the information provided, as long as there are no concrete indications of inaccuracy.
  4. If the execution of individual services (in particular in the area of Virtual Administration) requires the issuance of a separate power of attorney or additional actions by the Customer, the Customer is obligated to comply with these cooperation obligations without delay. Delays caused by a failure to cooperate shall be at the Customer's expense.

11. KYC, AML, and Compliance

  1. SetCorp conducts identity and compliance checks as required.
  2. This includes the verification of identity data, passport copies, beneficial owners, business activity, and the source of funds.
  3. SetCorp is entitled to refuse or terminate orders in the event of missing information, contradictory statements, compliance risks, or legal violations.
  4. SetCorp is not obligated to disclose its internal compliance checks in detail.

12. Identity and Document Verification

  1. SetCorp is entitled to request originals, certified copies, or apostilles.
  2. Costs for these are included in the price if expressly stated; otherwise, they shall be borne by the Customer.

13. Conclusion of Contract

  1. The presentation on the website does not constitute a binding offer unless expressly stated otherwise.
  2. The Customer's order constitutes the offer.
  3. The contract is concluded by express confirmation, acceptance of the order, commencement of execution, or dispatch of an order confirmation.
  4. SetCorp is entitled to reject orders without stating reasons.

14. Electronic Conclusion of Contract

  1. The contract may be concluded electronically.
  2. Electronic declarations are legally binding.
  3. A handwritten signature is only required by statutory provision or explicit request.

15. Prices

  1. The prices in effect at the time of conclusion of the contract shall apply.
  2. Prices are exclusive of VAT (where applicable) and third-party and authority costs not included therein.
  3. Additional costs may arise for authority fees, visas, translations, courier charges, etc., unless included in the price.

16. Prepayment

  1. Services are, as a rule, provided on a 100% prepayment basis.
  2. Payment must be made in full before the commencement of execution.
  3. SetCorp shall commence work only upon receipt of payment.
  4. Third-party costs arising subsequently may be invoiced before further execution.

17. Payments

  1. Payments are made via the offered methods.
  2. Payment fees for certain methods may be charged.
  3. In the event of payment delay, the service may be suspended.

18. Commencement of Services

  1. Services commence upon conclusion of the contract, receipt of payment, and submission of all required documents.
  2. At the Customer's request or due to the nature of the service, SetCorp may commence before the expiration of a withdrawal period.
  3. Mandatory statutory rights shall remain unaffected.

19. Cancellation and Refund

  1. Cancellation after commencement may result in costs.
  2. Only the portion for which no service has been rendered and no non-refundable third-party fees have been incurred shall be refunded.
  3. Services already rendered shall be offset.
  4. Non-refundable third-party and authority costs shall be borne by the Customer.

19a. Money-Back Guarantee and Service Level

  1. a) Start Guarantee:
    SetCorp commits to commencing processing of the order no later than 14 calendar days after conclusion of the contract and full receipt of payment. "Commencement" means the first substantial action (e.g., submission of documents, communication with authorities). If this period is exceeded without fault of the Customer, the Customer is entitled to withdraw from the contract and shall receive a refund of all payments within 30 days.
  2. a) Success Guarantee in Case of Fault:
    SetCorp does not guarantee administrative decisions (see Section 7). An exception applies if an agreed objective has demonstrably not been achieved and this is solely attributable to gross negligence or intentional fault on the part of SetCorp (e.g., missed deadline, loss of documents by SetCorp).
  3. a) In this case, SetCorp shall refund the fees for the failed service. Administrative fees or costs paid to partners shall not be refunded, unless their loss is likewise attributable to the fault of SetCorp.
  4. a) The burden of proof for the fault of SetCorp lies with the Customer. In the event of a dispute, SetCorp shall disclose its process documentation.

20. Non-Achievement Due to Administrative Rejection

  1. A rejection by an authority does not constitute a failure of performance by SetCorp, provided SetCorp has worked in a proper manner.
  2. The following remain due: services rendered, third-party fees incurred, government fees, and non-cancellable services.
  3. A remaining amount refunded by third parties shall be credited to the Customer.
  4. No refund shall be provided for services already rendered solely because the objective was not achieved.
  5. Errors attributable to the Customer shall be at the Customer's expense.
  6. Alternative offers constitute new orders.

21. Changes to the Order by the Customer

  1. Changes may result in additional costs.
  2. This applies to changes of jurisdiction, shareholders, business activity, etc.
  3. SetCorp shall inform the Customer before incurring significant additional costs.

22. Delays Caused by the Customer

  1. Delays caused by the Customer shall extend the processing period.
  2. This applies in cases of late submission of documents, missing documents, or missed appointments.
  3. Additional costs may be charged to the Customer.

23. Third-Party Services

  1. SetCorp engages external service providers (agencies, notaries, authority representatives, etc.).
  2. To the extent that a third party becomes a contractual party, their terms and conditions shall apply.
  3. SetCorp shall not be liable for the decisions of independent third parties.

24. Arranged Services

  1. SetCorp may merely arrange services of third parties. This applies in particular to parts of the "Virtual Administration & Assistance" service that are provided internationally by specialized partners. To the extent that a third party becomes a contractual party, their terms and conditions shall apply.
  2. SetCorp is then not itself the service provider.
  3. The Customer shall be informed where this is relevant.
  4. For arranged services, the terms and conditions of the third-party provider shall apply.
  5. SetCorp may receive a commission from the third-party provider.

25. Services by UAE Partners

  1. For UAE services, SetCorp coordinates or arranges local partners.
  2. Depending on the product, SetCorp is the contractual party (principal / subcontractor) or the arranger.
  3. The applicable variant is determined by the service description.

26. Powers of Attorney

  1. SetCorp provides the booked services, as a rule, without a separate power of attorney, unless otherwise prescribed by law or by an authority.
  2. A separate, explicit power of attorney is only required in exceptional cases where a specific action mandatorily requires a specific power of representation under law or by an authority (e.g., signing contracts with external effect, submission of declarations to authorities).
  3. If such a power of attorney becomes necessary, SetCorp shall inform the Customer without delay. The Customer is obligated to issue the required power of attorney in a timely manner and to actively cooperate. SetCorp is entitled to suspend the affected part of the service until the power of attorney has been issued, without this constituting a delay on the part of SetCorp.
  4. Actions that are mandatorily personal under law cannot be replaced by a power of attorney.

27. Bank Accounts and Banking Relationships

  1. SetCorp may coordinate or arrange account openings.
  2. The decision is made exclusively by the bank.
  3. SetCorp guarantees neither the opening of an account nor specific terms and conditions.

28. Visas and Residence Services

  1. Procedures are subject to the competent authorities.The decision is made exclusively by the bank.
  2. SetCorp guarantees neither the issuance of a visa nor the duration of stay.
  3. The Customer must meet all prerequisites.

29. Business Activity and Licenses

  1. The Customer is responsible for the truthful declaration of the business activity.
  2. SetCorp is not entitled to unilaterally alter the business activity.
  3. Permissibility is determined by the law of the respective jurisdiction.

30. Intellectual Property

  1. All documents provided by SetCorp shall remain the property of SetCorp.
  2. The Customer shall be granted a simple, non-transferable right of use.
  3. Further distribution or commercial exploitation is not permitted.

31. Use of the Website

  1. Use is permitted only for lawful purposes.
  2. Hacking, scraping, false identity information, etc. are not permitted.
  3. SetCorp is entitled to block access in the event of misuse.

32. Website Availability

  1. SetCorp endeavors to maintain high availability.
  2. Uninterrupted availability is not guaranteed.
  3. Interruptions may occur due to maintenance, technical failures, or force majeure.

33. External Links

  1. Links to third parties are provided for informational purposes.
  2. SetCorp assumes no responsibility for their content.

34. Data Protection

  1. Data processing is carried out in accordance with applicable regulations.
  2. Details are set out in the Privacy Policy.
  3. Data may be transmitted to foreign partners.
  4. The Customer acknowledges the transmission of data to authorities and partners in the destination country.

35. Confidentiality

SetCorp treats customer information as confidential. Statutory disclosure obligations are reserved.

36. Liability of SetCorp

  1. SetCorp shall be liable without limitation for damages caused by intent or gross negligence.
  2. In cases of slight negligence, SetCorp shall be liable only if essential contractual obligations have been breached.
  3. Liability for indirect damages, such as lost profits, is excluded.
  4. Mandatory statutory claims, as well as liability for intent or gross negligence, shall remain unaffected by these provisions.

37. Liability for Third-Party Providers and Authorities

  1. SetCorp shall not be liable for decisions made by authorities or independent third parties.
  2. In particular, SetCorp shall not be liable for administrative rejections, visa refusals, or political changes.
  3. Liability for negligent selection of service providers remains reserved.

38. Force Majeure

SetCorp shall not be liable for delays caused by natural disasters, war, pandemics, strikes, cyber attacks, or other force majeure events.

39. Indemnification by the Customer

The Customer shall indemnify SetCorp against claims by third parties arising from false statements, unlawful activities, or misuse by the Customer.

40. Changes in Legislationy

  1. The Customer acknowledges that procedures may be subject to changes.
  2. In the event of changes in requirements, the scope of services may be affected.
  3. Additional fees may be charged to the Customer.

41. Termination by SetCorp

  1. SetCorp is entitled to terminate the contract without notice for cause. Cause exists, in particular, in the following cases:
    • Payment delay by the Customer despite reminder;
    • False, incomplete, or misleading information provided by the Customer (in particular in the context of KYC/AML);
    • Violations of compliance policies, sanctions lists, or statutory provisions;
    • Misuse of the services or the website;
    • Impossibility of performance due to regulatory requirements or lack of cooperation by the Customer;
    • Loss of the basis of the contract or strategic decisions by SetCorp to no longer offer certain services or jurisdictions.
  2. SetCorp reserves the right to terminate the contract also without cause, subject to a notice period of 30 days to the end of a calendar month, provided that no ongoing services (such as active incorporation proceedings or statutory deadlines) are affected that would be jeopardized by the termination. In this case, paid but not yet rendered services shall be refunded.
  3. Termination shall be made in writing (including email).

42. Consequences of Termination

Services already rendered and costs incurred shall be offset. A remaining amount shall be refunded.

43. Termination for Compliance Reasons

Termination is permitted in the event of compliance or sanctions-related grounds. Information about the reason shall be provided to the extent legally permissible.

44. Assignment

Assignment by the Customer is only permitted with the consent of SetCorp. SetCorp is entitled to assign claims in the context of restructurings.

45. Set-Off

Set-off is only permitted with undisputed or legally established claims.

46. Set-Off of Refunds

SetCorp is entitled to offset refunds against outstanding claims.

47. Communication

  1. Communication takes place electronically as a rule.
  2. The Customer must ensure that they are reachable at the email address provided.
  3. Notifications shall be deemed received upon dispatch.

48. Communication Without Customer Account

  1. SetCorp does not offer password-protected customer accounts (logins) in regular operation.
  2. All communication and document transmission takes place via encrypted email or through secure, temporary download links.
  3. The Customer is obligated to regularly check the email address provided. SetCorp shall not be liable for information that fails to reach the Customer due to incorrect information or technical issues on the Customer's side.

49. International Use

  1. The website and services may be accessible internationally.
  2. International availability does not constitute an offer in every country.
  3. SetCorp is entitled to exclude services for certain countries or profiles.

50. Export, Sanctions, and Embargo Law

SetCorp is entitled to refuse services if they violate Swiss law, sanctions, or export controls.

51. International Use

SetCorp is not obligated to establish business relationships where compliance or other reasons preclude it.

52.  Amendments to These Terms and Conditions

  1. Amendments may apply to future contracts.
  2. For existing orders, the version in force at the time of conclusion shall apply.

53. Partial Invalidity

In the event that individual provisions are deemed invalid, the remaining provisions shall remain in effect. A substitute provision shall apply.

54. Precedence of Individual Agreements

Individual written agreements shall take precedence over these Terms and Conditions.

55. Governing Law

  1. The substantive law of Switzerland shall apply.
  2. The CISG (United Nations Convention on Contracts for the International Sale of Goods) shall not apply.
  3. Mandatory provisions of the Consumer's country of residence shall remain unaffected.

56. Jurisdiction

  1. The court of jurisdiction shall be the registered office of SetCorp in Switzerland.
  2. For Business Customers, this applies to the extent permissible.
  3. For Consumers, the mandatory statutory jurisdictions shall apply.

57. Language

The contract language is German. Translations are provided for informational purposes only; in the event of any discrepancy, the German text shall prevail.

58. Limitation

Statutory limitation periods shall apply.

60. Entry into Force

These Terms and Conditions shall enter into force on September 26, 2026.
